Terms of Service
By using Helm, you (“the Customer”, “you”) agree to these Terms.
1. The service
Helm is a managed personal-productivity assistant. We provision and operate a private, dedicated instance of the software for you on infrastructure we control, and connect it to an AI assistant and (optionally) your calendar and email. Helm is a personal assistant tool — it is not accounting, tax, legal, medical, or project-management software, and should not be relied on as such.
2. Accounts and access
- We set up and host your instance. You receive access to the running service, not ownership of the underlying server, software, or infrastructure.
- You are responsible for keeping your login credentials secure and for activity under your account.
- You must provide accurate information and only connect accounts you are authorised to use.
3. Subscriptions, fees and billing
- The service is provided on a subscription basis: a one-off setup fee plus a recurring monthly fee, as quoted to you.
- Fees are billed via our payment processor. Recurring fees renew automatically until cancelled.
- Australian GST may apply and will be shown where applicable.
- Non-payment: if a payment fails or the subscription lapses, we may suspend access to your instance after a reasonable grace period. Suspension pauses the service; it does not by itself delete your data (see section 9).
4. Your AI provider and its costs
The AI assistant requires an API key from a third-party model provider (e.g. Anthropic, OpenAI, OpenRouter) that you supply and pay for directly. You are responsible for your own usage costs with that provider, and we recommend setting a spending limit in your provider account. We do not control or guarantee third-party provider pricing or availability.
5. Acceptable use
You agree not to use Helm for any unlawful purpose, to infringe others' rights, to attempt to breach or probe the security of the service or other customers' instances, or to connect accounts without authorisation.
6. Your data and content
- You own the data and content you put into Helm, and the data synced from accounts you connect.
- We process it to provide the service, as described in our Privacy Policy.
- On termination, we will provide an export of your data on request and then permanently delete your instance and data within the wind-down period in section 9.
7. Third-party services
Helm integrates with third parties (Google, your AI provider, hosting, and payment providers). Your use of those integrations is also subject to the relevant third party's terms, and we are not responsible for their acts or omissions.
8. Availability and warranties
We work to keep the service available and secure but provide it on an “as is” and “as available” basis without warranties of uninterrupted or error-free operation. We may perform maintenance, ideally with reasonable notice for planned windows.
9. Suspension and termination
- Either party may terminate the subscription on reasonable notice; you may cancel at any time effective at the end of the current billing period.
- We may suspend or terminate for non-payment or breach of these Terms.
- On termination: we suspend the service, make a data export available to you on request for 30 days, then permanently delete your instance and its data and decommission the server.
10. Limitation of liability
To the maximum extent permitted by law, and subject to any rights you have under the Australian Consumer Law that cannot be excluded, our total liability arising out of or in connection with the service is limited to the fees you paid us in the three (3) months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential loss, or for loss of data to the extent caused by factors outside our reasonable control.
11. Indemnity
You agree to indemnify us against claims arising from your unlawful use of the service or your breach of these Terms.
12. Changes
We may update these Terms from time to time; material changes will be notified to active customers and the “Last updated” date will change. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of Victoria, Australia, and the courts of Victoria, Australia have non-exclusive jurisdiction.
